Ms. Olyana Gordienko – Chairperson of the Supervisory Board, independent member

Has a 15-year legal experience in corporate law and capital market transactions in Baker & McKenzie, the prominent international law firm, and more than 5 years in policy-making, including on corporate governance.

As a partner at Baker & McKenzie, advised Ukrainian and international customers on mergers and acquisitions, including cross-border and English law agreements and private equity transactions. Also consulted on joint ventures and reorganizations and was a key corporate advisor for leading companies and state-owned enterprises.

After the Revolution of Dignity in 2014, focused on various policy development projects, including cooperation with public authorities (Ministry of Economic Development and Trade, State Property Fund), as well as international financial institutions to develop and implement reforms in Ukraine, including the state-owned enterprises corporate governance reform.

In September 2016, became the first woman appointed a member of the National Commission on Securities and Stock Market. In this position, dealt with corporate governance and corporate finance, led a dialogue on regulatory issues with securities’ issuers and, in particular, worked on the development and implementation of corporate governance principles in joint stock companies. As a commissioner, continued to participate in the corporate governance reform of state-owned enterprises and contributed to corporate governance reform in the banking sector. Her work also became a key factor in the successful implementation of the EU Directives.

In April 2017, took over the position of the Associate Director of Governance in Economics, Policy and Governance department at the European Bank for Reconstruction and Development (EBRD), in order to strengthen the EBRD role in the policy development dialogue and to promote the EBRD contribution to improving the investment climate, privatization, and state-owned enterprises reform in Belarus, Moldova and Ukraine.

Since April 2019, has been a corporate governance advisor for the ICU Financial Group.

In June 2019, was appointed by the Government as an independent member of the Supervisory Board of JSC “Ukreximbank”, and in 2020 became one of three women chairpersons of the supervisory boards of state-owned banks.

According to the rating of Ukrainian Women in Law for 2018 and 2019, Olyana Gordienko was recognized as one of the best lawyers in Ukraine among politicians, civil servants and public figures.
